2.2 The Organising Committee may, in its sole discretion, accept or decline any application and is not required to provide reasons for its decision.

2.3 No agreement in respect of sponsorship or exhibition space for the Event is formed with an Applicant unless and until their application has been accepted in writing by the Organising Committee.

2.4 Any payment received before an application is accepted will be returned to the Applicant if the application is declined.

2.5 The Agreement supersede any previous agreement in relation to the Event.

3. Sponsorship packages and inclusions

3.1 The sponsorship tiers, minimum investment amounts and exhibition space requirements available for the Event are described in the Prospectus. The Applicable Terms specify the sponsorship tier, exhibition package and associated rights, benefits and obligations applicable to the relevant Sponsor.

3.2 Bespoke sponsorship packages and exhibition-only arrangements may also be available, subject to availability and written approval by the Organising Committee.

3.3 Subject to the Agreement, each Participant is entitled to the rights, benefits and opportunities, and must comply with the obligations, applicable to it as set out in its Applicable Terms.

3.4 For sponsorship packages that include exhibition space, the exhibition space forms part of the overall value of the selected sponsorship package. The remaining package value may be allocated to items selected from the available sponsorship menu, subject to availability, written approval by the Organising Committee and applicable deadlines from time to time.

3.5 Menu selections and bespoke inclusions are not confirmed until they have been approved in writing by the Organising Committee.

3.6 If a selected sponsorship opportunity becomes unavailable, the Organising Committee will discuss alternative options with the Participant and may offer a reasonably comparable alternative.

3.7 No rights, privileges, or entitlements of a Participant (whether used or unused) can be exchanged for cash or other property, carried forward to another event, or transferred to another organisation or person other than as contemplated by clause 5.7.

3.8 No industry, product or competitor exclusivity applies unless expressly agreed in writing by the Organising Committee.

3.9 Participant benefits are limited to those confirmed in the written Package Confirmation.

3.10 The Organisers may, acting reasonably, make changes to the rights, benefits, entitlements or other arrangements applicable to a Participant under their Applicable Terms to the extent reasonably necessary for the proper administration, safety, security or delivery of the Event, including to comply with legal requirements or venue requirements. If a change results in a material reduction in, or unavailability of, a right, benefit or entitlement under the Applicable Terms, the Organising Committee will use reasonable endeavours to provide a reasonably comparable alternative and will consult with the affected Participant regarding that alternative. If the change is materially detrimental to the Participant and the Organising Committee is unable to provide a reasonably comparable alternative, the Participant may cancel the affected right, benefit or entitlement and receive a refund of the proportion of the relevant Fee reasonably attributable to it. Nothing in this clause limits any rights or remedies that cannot be excluded under applicable law.

3.11 Participation as a Sponsor, Exhibitor or other Participant does not guarantee any particular outcome including regarding level of delegate engagement, sales, leads, media coverage or other commercial benefit.

4. Fees and payment

4.1 All Participant Fees payable by a Participant are stated in Australian dollars and are inclusive of GST unless expressly stated otherwise.

4.2 Participants must pay all Participant Fees to the Organisers within 14 days after the invoice date. However, where a Participant's Applicable Terms are confirmed less than 60 days before the Event, all Participant Fees must be paid in full within 3 days after the invoice date.

4.3 Full payment is due within 14 days after the invoice date, or where a Participant's sponsorship, exhibitor or other Participation rights are confirmed less than 60 days before the Event, within 3 days after the invoice date.

4.4 No rights, privileges, or entitlements accrue to a Participant until the invoiced amount is received by the Organisers in full.

4.5 If full payment is not received by the due date, the Organising Committee may, in its sole discretion, suspend the relevant Participant benefits, release the exhibition space and / or cancel the arrangement in full or in part. In those circumstances, and to the maximum extent permitted by law, no amount paid by the Participant is refundable.

4.6 Participants are responsible for all bank charges, international payment fees, currency-conversion costs, withholding taxes and other costs associated with making payment of the invoiced amount.

4.7 The Fee paid to the Organisers by Participants constitutes unrestricted funding and the Organisers retain absolute discretion as to how that Fee will be allocated provided that the Organisers use reasonable endeavours to ensure it is allocated towards an activity or activities which are consistent with its charitable purposes.

5. Cancellation by the Sponsor or Exhibitor

5.1 A cancellation request or request to reduce exhibition space or sponsorship benefits, in whole or in part, must be made in writing to sponsors@lwc2027.com. This right only applies to Sponsors and Exhibitors.

5.2 The following cancellation schedule applies:

(a) Cancellation received on or before 31 December 2026: 80% of the amount paid.

(b) Cancellation received from 1 January 2027 to 30 April 2027: 50% of the amount paid.

(c) Cancellation received after 30 April 2027: no refund will apply.

5.3 The parties acknowledge that the cancellation amounts in this clause have been determined having regard to the Organiser's anticipated losses arising from a cancellation by a Sponsor or Exhibitor, including lost sponsorship or exhibitor revenue, remarketing and sales costs, event planning costs, account management costs, administration costs and other losses arising from the cancellation, and represent a reasonable estimate of those losses.

5.4 A requested reduction in exhibition space or sponsorship benefits will be treated as a pro-rated cancellation, with the refund schedule above applying in respect of the cancelled component. The Organising Committee may also re-price the remaining package where the reduction means that the package no longer meets the applicable minimum requirements.

5.5 The cancellation fees and refund limitations in this clause 5 do not apply where:

(a) the Sponsor or Exhibitor terminates the Agreement as a result of a material breach of the Agreement by the Organisers; or

(b) the Organisers cancel the Event other than as permitted under the Agreement; or

(c) the Agreement specifically allow for a full or partial refund (for example under clause 6.3).

In those circumstances, the Sponsor or Exhibitor will be entitled to a refund of any Participant Fees paid for sponsorship or exhibition benefits that have not been provided.

5.6 No cancellation, reduction or transfer is effective unless requested in accordance with clause 5.1 and acknowledged in writing by the Organising Committee, such acknowledgement not to be unreasonably delayed or withheld.

5.7 A Sponsor or Exhibitor may not transfer its sponsorship package or exhibition space, in whole or in part, to another person or organisation without the prior written approval of the Organising Committee.

6.2 If the Event is postponed because of circumstances beyond the Organisers' reasonable control, all accepted sponsorship packages, exhibition reservations advertising opportunities, promotional opportunities and other Participation rights will transfer automatically to the replacement Event dates, subject to any applicable legal obligations. In these circumstances, the Organisers will provide the Participant with reasonable notice of the replacement dates and any material operational changes. The Participant is not entitled to cancel its sponsorship package exhibition booking, advertising opportunity, promotional opportunity or other Participation rights, solely because of the postponement.

6.3 If the Event is cancelled, or is postponed for reasons other than circumstances beyond the Organisers' reasonable control, the Participant's Applicable Terms will transfer to the replacement Event dates. If the Participant does not wish to participate on the replacement Event dates, it may provide written notice to the Organisers and receive a refund on all amounts paid in respect of the affected Applicable Terms. The Organisers will act in accordance with all applicable legal obligations and, subject to those obligations and to the maximum extent permitted by law, will not be liable for any indirect, consequential or special loss, loss of profits, loss of opportunity or other damages arising from the cancellation or postponement of the Event.

6.4 The Organisers may, acting reasonably, change or modify the Event program, speakers, session times, exhibition hours, floor plan, facilities, venue arrangements, and any other matters relevant to the Event, where necessary for the proper conduct, safety or delivery of the Event. If this causes a particular entitlement included in a Participant's Applicable Terms to become unavailable, the Organising Committee will discuss an alternative entitlement with the Participant. If the change materially reduces the value of the affected entitlement for Participant and no reasonably comparable alternative is agreed, the Participant may cancel the affected entitlement and receive a refund of the portion of the Participant Fees paid by the Participant that is reasonably attributable to that entitlement.
